DivineVPN Terms of Service

These Terms of Service ("Terms") govern your access to and use of the VPN services, applications, software, and website (collectively, the "Services") provided by DivineVPN ("DivineVPN," "we," "us," or "our").

Please read these Terms carefully before using our Services. By accessing, using, or subscribing to our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

1. Acceptance of Terms

By creating an account, downloading our software, or using our Services, you represent that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" in these Terms will refer to that organization.

2. Your DivineVPN Account

Account Creation: To use certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
Account Security: You are responsible for safeguarding your account password and for any activities or actions under your account, whether or not you have authorized such activities or actions. You agree to notify DivineVPN immediately of any unauthorized use of your account. DivineVPN cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.
Account Responsibility: You are responsible for all activities that occur under your account, including the activities of any users you authorize to access your account.

3. Subscription and Payments

Subscription Plans: Our Services are offered on a subscription basis. Details of our current subscription plans, including pricing and features, are available on our website.
Payment: By subscribing to our Services, you agree to pay the applicable subscription fees. All fees are payable in advance. We use third-party payment processors to handle payment transactions. Your payment information will be processed and stored by these third parties in accordance with their terms and privacy policies. DivineVPN does not store your full credit card details.
Automatic Renewal: Unless you cancel your subscription before the end of the current subscription period, your subscription will automatically renew for an equivalent period, and you authorize us (without notice to you, unless required by applicable law) to collect the then-applicable subscription fee using any payment method we have on record for you.
Cancellations: You may cancel your subscription at any time through your account settings or by contacting our support team. If you cancel, your subscription will remain active until the end of the current paid billing cycle, and you will not be charged for subsequent periods.
Price Changes: We reserve the right to change our subscription fees at any time. We will provide you with reasonable prior notice of any price changes. Your continued use of the Services after the price change becomes effective constitutes your agreement to pay the changed amount.

4. License to Use Our Services

Subject to your compliance with these Terms, DivineVPN grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use our software and access our Services for your personal, non-commercial use (unless otherwise agreed in writing).

5. Acceptable Use Policy

You agree not to use the Services for any unlawful or prohibited purpose, including but not limited to:

Engaging in any activity that violates any local, state, national, provincial, or international law or regulation.
Transmitting any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
Infringing upon or violating our intellectual property rights or the intellectual property rights of others.
Attempting to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, our servers, or any server, computer, or database connected to the Services.
Using the Services to transmit any viruses, Trojan horses, worms, malware, or other material that is malicious or technologically harmful.
Interfering with or disrupting the integrity or performance of the Services or the data contained therein.
Using any automated system, including "robots," "spiders," or "offline readers," to access the Services in a manner that sends more request messages to the DivineVPN servers than a human can reasonably produce in the same period by using a conventional online web browser.
Using the Services for any commercial purpose not expressly permitted by DivineVPN.
Reselling, sublicensing, or otherwise making the Services available to any third party.
Violating the terms of service of any third-party websites or services accessed through our VPN.
Engaging in any activity that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service.

DivineVPN reserves the right to investigate violations of this Acceptable Use Policy or other misuse of the Services. We may, in our sole discretion, suspend or terminate your access to the Services without prior notice for any violation of these Terms, including this Acceptable Use Policy.

6. Service Limitations and Modifications

Availability: While we strive to keep the Services operational, we do not guarantee that the Services will be available at all times, be uninterrupted, or be error-free. The Services may be subject to unavailability for a variety of factors beyond our control, including emergencies, third-party service failures, transmission, equipment or network problems or limitations, interference, or signal strength, and may be interrupted, refused, limited, or curtailed.
Modifications: DivineVPN reserves the right to modify, suspend, or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice at any time. You agree that DivineVPN will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.
Server Locations: The availability of specific server locations may change from time to time. DivineVPN does not guarantee the availability of any particular server or server location.
Speed and Performance: The speed and performance of the Services may vary depending on various factors, including your internet connection, server load, network congestion, and the protocols you use.

7. Intellectual Property Rights

The Services, including all software, website content, trademarks, service marks, logos, and other intellectual property (collectively, "DivineVPN IP"), are the exclusive property of DivineVPN and its licensors. These Terms do not grant you any rights to use the DivineVPN IP except for the limited license to use the Services as expressly stated herein. You agree not to copy, modify, distribute, sell, or lease any part of the DivineVPN IP.

8. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your information. Our commitment to a no-logs policy is detailed in our Privacy Policy.

9. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

DIVINEVPN DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS.

YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM YOUR USE OF THE SERVICES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DIVINEVPN, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; AND (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DIVINEVPN'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO DIVINEVPN FOR THE USE OF THE SERVICES DURING THE THREE (3) MONTH PERIOD PRIOR TO THE CAUSE OF ACTION; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

11. Indemnification

You agree to defend, indemnify, and hold harmless DivineVPN, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any use of the Services' content, services, and products other than as expressly authorized in these Terms or your use of any information obtained from the Services.

12. Termination

Termination by You: You may terminate your account and stop using the Services at any time.
Termination by DivineVPN: We may, in our sole discretion, suspend or terminate your access to all or part of the Services with or without notice and for any reason, including, without limitation, if we believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease.
Effect of Termination: Upon termination, all licenses granted to you under these Terms will immediately terminate. Provisions that, by their nature, should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Prague before one arbitrator. The arbitration shall be administered by our chosen arbiter pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the Award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

Alternatively, you agree that any legal action or proceeding between you and DivineVPN will be brought exclusively in the federal or state courts located in Prague. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

14. Changes to Terms

DivineVPN reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by DivineVPN on the Services, shall constitute the entire agreement between you and DivineVPN concerning the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, concerning the Services.

16. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

17. Waiver

No waiver by DivineVPN of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of DivineVPN to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

18. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without DivineVPN's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. DivineVPN may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
